3. Service Agreements
- Before beginning any project, we will provide a written agreement detailing the scope, timeline, deliverables, and cost of services.
- You agree to provide all necessary materials, information, and approvals in a timely manner to facilitate the completion of our services.
- Changes to the scope of work after the agreement is signed may result in additional charges and/or extended timelines. Any changes must be documented in writing and approved by both parties.
4. Payment Terms

- Upon full payment, you will own the final deliverables created specifically for your project (e.g., website design, branding assets).
6. Confidentiality
- Both parties agree to keep confidential any non-public information shared during the course of the project.
- We will not share or disclose your confidential information to any third party without your prior written consent.
7. Responsibilities and Limitations
- Client Responsibilities: You are responsible for providing accurate and complete information, materials, and approvals necessary for GC Sherpa to deliver the services.
- GC Sherpa Responsibilities: We will use reasonable skill and care to deliver the agreed-upon services in a timely and professional manner.
- We do not guarantee specific results (e.g., top search engine rankings or a certain number of leads) due to the variable nature of digital marketing.
8. Termination
- Either party may terminate the agreement with written notice.
- If you terminate the agreement before the completion of the project, you will be responsible for payment of all work completed up to the termination date.
- GC Sherpa reserves the right to terminate the agreement if you fail to meet your responsibilities, including but not limited to timely payments or approvals.
9. Disclaimers and Limitation of Liability
- Our services are provided “as is” and “as available.” We do not guarantee uninterrupted or error-free services.
- To the maximum extent permitted by law, GC Sherpa will not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services.
- Our liability for any claim related to our services will not exceed the total amount paid by you to GC Sherpa for the specific service in question.
10. Indemnification
You agree to indemnify and hold harmless GC Sherpa, its employees, and affiliates from any claims, damages, or liabilities arising from your use of our services or any breach of these Terms.
11. Governing Law
These Terms are governed by the laws of the state in which GC Sherpa is headquartered. Any disputes arising under these Terms will be resolved in the courts located in that state.
